1. Acceptance of Terms

By accessing or using the Nerifect cloud governance platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Description of Service

Nerifect provides a unified cloud governance platform that includes:

  • AI Governance and EU AI Act compliance monitoring
  • Security and compliance scanning for cloud infrastructure
  • FinOps cost optimization and resource management
  • Privacy and consent management tools
  • Infrastructure as Code (IaC) policy enforcement
  • Integration with version control systems and CI/CD pipelines

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Nerifect immediately of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms.

4. User Obligations

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any portion of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit malicious code or conduct security attacks
  • Share your account credentials with third parties
  • Use the Service in a manner that exceeds reasonable usage limits

5. Intellectual Property

5.1 Nerifect Property

The Service and its original content, features, and functionality are owned by Nerifect and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 User Content

You retain all rights to the code, configurations, and data you submit to the Service ("User Content"). By using the Service, you grant Nerifect a limited license to access, process, and analyze your User Content solely for the purpose of providing the Service.

5.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service become the property of Nerifect, and we may use such feedback without any obligation to you.

6. Payment Terms

6.1 Subscription Fees

Certain features of the Service require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law.

6.2 Price Changes

We reserve the right to modify our pricing at any time. Price changes will be communicated at least 30 days in advance and will take effect at the start of your next billing cycle.

6.3 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NERIFECT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL NERIFECT'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO NERIFECT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. NERIFECT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NERIFECT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

9. Indemnification

You agree to indemnify, defend, and hold harmless Nerifect and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from your use of the Service or violation of these Terms.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Nerifect is incorporated, without regard to its conflict of law provisions.

12. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association, except that either party may seek injunctive relief in any court of competent jurisdiction.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
